DIGITAL PRODUCT TERMS

These Digital Product Terms apply to the purchase, download and use of digital products supplied by Mary Mbugua trading as Construction ADR Hub.

They apply to the Construction Dispute Prevention Toolkit, the Individual Pack, the Small-Team option and any associated guides, templates or implementation resources purchased through this website.

By completing a purchase, downloading the files or using the product, you agree to these terms. Use of the Construction ADR Hub website is also governed by our Website Terms.

1. The digital products

Construction ADR Hub products may include:

• PDF guidance documents

• Editable Microsoft Word templates

• Editable Microsoft Excel registers, logs, matrices and schedules

• Read Me First guides

• Team implementation and rollout resources

• Other supporting digital materials described on the relevant product page

The exact contents of each product are stated on its product page and at checkout. Please review that information before purchasing.

Unless expressly stated otherwise, purchases are one-time digital purchases and not subscriptions.

2. Educational and administrative purpose

The products provide general guidance and practical administrative tools for construction contract administration, project record-keeping and dispute prevention.

They do not constitute legal, engineering, project-management, financial or other professional advice.

The products do not amend a Contract, create contractual entitlement or guarantee that a dispute, delay, loss or claim will be avoided.

Before using any product or template, check it against:

• The signed Contract and its notice requirements

• Applicable laws and statutory requirements

• The project’s agreed procedures

• The organisation’s approved systems and authority levels

• Appropriate project-specific professional advice

3. Prices and payment

The price payable is the price displayed at checkout when the order is placed.

Applicable taxes, currency conversion or payment-processing information will be shown at checkout where relevant. Charges imposed separately by a purchaser’s bank or payment provider are outside the control of Construction ADR Hub.

Where checkout is processed through Lemon Squeezy, Lemon Squeezy acts as the merchant of record and processes the payment, applicable sales taxes, receipts, refunds and chargebacks.

The payment transaction is also subject to the Lemon Squeezy Buyer Terms presented at checkout. Information about how personal information is collected and handled is provided in our Privacy Policy.

4. Digital delivery

Products are delivered electronically using the download link or access instructions provided after payment.

The purchaser is responsible for providing a correct and accessible email address at checkout and for downloading and safely storing the purchased files.

If the download link does not arrive, check the email spam or junk folder before contacting Construction ADR Hub.

Please report missing, inaccessible or corrupted files through the Contact page and include the order number and email address used for the purchase.

5. Permission to use the products

Purchase grants the purchaser limited, non-exclusive and non-transferable permission to use and customise the purchased product within the limits set out below.

Copyright and ownership of the Toolkit, templates, guides and supporting materials remain with Mary Mbugua trading as Construction ADR Hub.

Purchase does not transfer copyright or ownership of the digital product.

6. Individual Pack use

The Individual Pack is intended for one named purchaser.

The purchaser may:

• Use and customise the templates on projects they personally administer

• Use the templates across multiple projects

• Store working copies in the relevant project files

• Share completed project records with legitimate clients, contractors, consultants and other project parties

The purchaser may not:

• Share blank or editable master templates with colleagues

• Upload the master pack to a company-wide shared system

• Allow another person to use the templates independently

• Resell, sublicense, gift or redistribute the product

• Use the files to create a competing template pack or commercial publication

Where more than one person requires access to the editable master files, the Small-Team option should be purchased.

7. Small-Team option use

The Small-Team option is intended for a small, identifiable team operating within one legal entity.

Authorised team members may:

• Access and customise the editable templates

• Share controlled master files internally within the team

• Use the resources across projects administered by the purchasing organisation

• Store a controlled master copy in the organisation’s internal document system

• Use the Team Implementation and Rollout resources internally

• Share completed project records with legitimate project parties

This permission does not automatically extend to:

• Associated or subsidiary companies

• Joint-venture partners

• Clients or subcontractors

• External consultants

• Separate legal entities

• Persons outside the purchasing organisation’s authorised team

Company-group, multi-entity or wider enterprise implementation requires a separate written arrangement with Construction ADR Hub.

8. Completed project records

Completed notices, registers, checklists, applications, meeting minutes and other project records may be issued or shared as necessary for administration of the relevant project.

Receiving a completed project record does not give the recipient permission to extract, copy or reuse the underlying blank template on another project.

9. Customisation and branding

Permitted users may adapt:

• Project details

• Contract terminology

• Fields and workflows

• Company and project branding

• Approval and signature requirements

• Document-control arrangements

Customisation does not permit a user to sell, publish or distribute the adapted templates as their own commercial product.

Copyright and permitted-use information should remain in the master files and accompanying documentation.

10. Prohibited distribution

The Toolkit and blank editable files must not be:

• Resold, rented, gifted or sublicensed

• Uploaded to a public website or online repository

• Distributed through WhatsApp, Telegram or other messaging groups

• Circulated through mailing lists or professional groups

• Stored in a folder accessible to unauthorised users

• Used to create a competing template pack, publication or commercial product

• Made available for unrestricted download or copying

11. Software compatibility

The editable files are supplied in Microsoft Word and Microsoft Excel formats.

The purchaser is responsible for having suitable software and for confirming that fields, formulas, formatting, page layouts and print areas work correctly in the software version being used.

Construction ADR Hub does not guarantee that all formatting or functionality will be preserved when files are opened in third-party or older software.

12. Refunds

Because the products are digital and access is normally provided immediately, refunds are not normally offered solely because a purchaser:

• Changes their mind after receiving access

• No longer needs the product

• Fails to review the product description before purchasing

• Does not have suitable software

• Expected project-specific advice, customisation or implementation services that were not included in the product description

A refund or replacement may be considered where:

• A duplicate purchase was made accidentally

• The product was not delivered

• Supplied files are corrupted or cannot be opened and the problem cannot reasonably be corrected

• The product is materially different from its published description

• A refund is required by applicable law

Please submit a legitimate refund request through the Contact page within 14 days of purchase where reasonably possible.

Refund decisions may also be subject to the checkout provider’s terms and procedures. Nothing in this section limits mandatory consumer rights or Lemon Squeezy’s discretion as merchant of record.

13. Support and additional services

Purchase includes reasonable assistance with missing, inaccessible or corrupted files.

Unless expressly included in the product description, purchase does not include:

• Template customisation

• Contract review

• Legal or professional advice

• Training

• Project implementation

• Ongoing technical support

• Future major editions

• Access to an online platform

Any additional service must be agreed separately.

14. Product updates

Purchase applies to the version supplied at the time of purchase.

Construction ADR Hub may correct errors or make minor file improvements. However, purchase does not automatically include future major editions, new products, additional packs or access to a future digital platform unless expressly stated.

15. Misuse and termination

Construction ADR Hub may suspend access or withdraw permission to use the blank master files where there is a serious or repeated breach of these terms.

This does not prevent a project party from retaining properly completed project records where they are required for contractual, legal, insurance, audit or record-keeping purposes.

Construction ADR Hub may pursue appropriate remedies where copyrighted materials are unlawfully copied, sold or distributed.

16. Limitation of liability

To the fullest extent permitted by law, Construction ADR Hub and Mary Mbugua will not be liable for loss arising solely from:

• Use of a product without checking the signed Contract or applicable law

• Failure to follow contractual notices, time bars or communication procedures

• Project-specific decisions made without appropriate professional advice

• Unauthorised alteration, distribution or use of the files

• Software incompatibility that is outside the reasonable control of Construction ADR Hub

Where liability cannot lawfully be excluded, the total liability relating to a particular purchase will not exceed the amount paid for that product, unless applicable law requires otherwise.

Nothing in these terms excludes liability or mandatory consumer rights that cannot lawfully be excluded.

17. Changes to these terms

Construction ADR Hub may update these Digital Product Terms when products, systems, service providers or legal requirements change.

The terms accepted at the time of purchase will govern that purchase unless a later change is required by law or agreed with the purchaser.

18. Governing law

These Digital Product Terms are governed by the laws of Kenya.

Any dispute concerning the product or these terms will be subject to the jurisdiction of the Kenyan courts, unless mandatory law gives the purchaser the right to bring proceedings in another jurisdiction.
